AD promotion – run for the roses

how to participate​

A year-long, AD-exclusive promotion offered by Aalberts integrated piping systems, designed to simulate a horse race. Each distributor will be assigned a unique horse/jockey with combination colors. Each assignment will be unique and only known to that specific distributor, ADHQ, and Aalberts IPSA. Aalberts IPSA will publish a ranking of the distributors weekly, using the horse/jockey combination and members’ assigned point person will be able to sign on and see where their company ranks in the race. Aalberts IPSA is hosting a simulated horse race contest from April 1, 2024 until March 31, 2025. In order to participate, you must fill out the entry form on this page and sign up. Only one registrant per company. Registration begins March 19, 2024 and concludes June 30, 2024. Qualifying purchases start April 1, 2024 regardless of registration date. Winners will be notified by April 2, 2025. All listed qualifications must be met. Products covered by the promotion will include all Aalberts IPSA products and booked sales.

Tomy Lee came from behind on the outside raising from 10th to running nose for nose with Meridian. While there is a battle going on for fourth and fifth place. Funny Cide moved up 4 positions while Kauai King moved up 2 all running neck and neck with Carry Back in 4th place. Exterminator came up from 11th place to challenge Genuine Risk, Go for Gin and Northern Dancer for 5th. The back of the field also shaking a few things up as a few move up 2-3 positions rather quickly. Twenty Grand moving into 7th while Barbaro, Bold Forbes, Charismatic move into 8th. Alysheba coming from 12th position into 8th and Omaha coming from 11th into 9th.

1. Contest Period. The Aalberts IPSA Run for the Roses Incentive Contest (this “Contest”) begins at 12:00:01 a.m. Eastern Time on April 1, 2024, and ends at 11:59:59 p.m. Eastern Time on March 31, 2025 (the “Contest Period”). However, the period for registering to enter this Contest begins at 12:00:01 a.m. Eastern Time on March 18, 2024, and ends at 11:59:59 p.m. Eastern Time on June 30, 2024 (the “Registration Period”). Entries that are submitted/registered before or after the Registration Period will be disqualified and otherwise will not be accepted. Note, however, that for any Entrant that registers between the first day of the Contest Period and the last day of the Registration Period, all Qualifying Purchases by any such Entrant will be calculated from the first day of the Contest Period. The Sponsor’s time clock will be the official time keeping device for this Contest.

 

2. Eligibility. This Contest is open only to verified members of the Sponsor’s Affiliated Distributors Program that are organized in one or more of the fifty (50) United States and in good standing during the Contest Period (each, an “Entrant”). None of the officers, directors, employees or agents of the Sponsor, or the immediate family members (including husband, wife, children, mother, mother in-law, father, father in-law, sister, sister in-law, brother or brother in-law) of any of the foregoing, are eligible to enter or win this Contest. This Contest is subject to all applicable federal, state and local laws and is void where prohibited by law, and in Puerto Rico, Guam, and any other U.S. territories, possessions, or military installations. By submitting entries as described below, participants agree to abide and be bound by these Official Rules and decisions of the Sponsor, which shall be final in all matters relating to this Contest.

 

By participating in this Contest, Entrant (a) acknowledges compliance with these Official Rules; (b) represents and warrants that Entrant meets all the eligibility criteria set forth in these Official Rules; (c) agrees to, and shall, comply with any and all applicable federal, state and local laws, rules and regulations; and (d) agrees to indemnify, defend, release, and hold harmless the Sponsor Parties (as defined below) from and against any and all damages, claims and liabilities (including attorneys’ fees and costs) arising out of or relating in any way to Entrant’s participation in this Contest, Entrant’s entry in this Contest, and Entrant’s acceptance or use of any Prize (as defined below), and to release all rights to bring any claim, action or proceeding against the Released Entities. This includes, but is not limited to, any and all claims, demands, damages and causes of action for personal injury or death and/or damage to personal or real property, theft, loss, or damage of any kind, or any other harm suffered, directly or indirectly arising from or in connection with Entrant’s participation in and/or entry into this Contest or the receipt or acceptance, redemption, possession, use or misuse of any Prize, including, but not limited to, traveling to, preparing for and/or participating in any Contest or Prize-related activity, and for any other claim, including any claim based on merchandise delivery, defamation, publicity rights, invasion of privacy, copyright infringement, trademark infringement, or any other intellectual property-related or other cause of action.

3. How to Enter and Participate. To enter this Contest, visit https://aalberts-ips.us/ad-promotion-run-for-the-roses/ (the “Website”) during the Registration Period, then fill out all the required information at that page in order to register and be entered. The Sponsor will assign to each valid

Entrant that entered during the Registration Period a unique combination of colors representing a racehorse and its jockey that will be known only to the Entrant assigned those colors, and to the Sponsor. Entrant will then be entered into a virtual, simulated “horse race” between all Entrants to see which Entrants can purchase the most, measured in dollar amounts, in Apollo Valves products, based on valid purchases by Entrant in the normal course Entrant’s Apollo Valves distribution business and as a member of the Apollo Valves Affiliated Distributor Program, from the Sponsor during the Contest Period, and taking into account any and all returns of such products (“Qualifying Purchases”). All Entrant’s weekly Qualifying Purchases amounts will be tracked by the Sponsor during the Contest Period. The Sponsor will regularly publish Entrants’ weekly rankings amongst one another under this Contest based on Qualifying Purchase amounts using the unique color combination assigned to each Entrant, and not using Entrants’ names or other identifying information. Such “horse race” progress will be published on the Website where Entrants can log in to track such progress during the Contest Period. At the end of the Contest Period, the Sponsor will tabulate all Entrants’ Qualifying Purchases and announce the first place, second place, and third place, respectively, winners of the Contest, and will award each the Prizes, as described in Section 4 below. As a condition of entry in this Contest, Sponsor will not accept returns of any Qualifying Purchases made during the Contest Period except pursuant to Sponsor’s standard warranty terms with respect to particular Apollo Valves products.

 

4. Prizes and Approximate Retail Values (“ARV”). There are thirty-six (36) prizes that will be awarded under this Contest, for “win,” “place” and “show,” respectively, as follows (each a “Prize” and collectively the “Prizes”): (a) one (1) grand prize “win” Prize, awarded to the one (1) winning Entrant under this Contest based on the criteria described in Section 3 above, and which must have a minimum of two hundred thousand dollars ($200,000.00) in additional Qualifying Purchases over the Entrant’s purchases of Aalberts IPSA products from Sponsor in the immediately prior twelve (12) month period before the Contest Period AND representing a minimum of fifteen percent (15%) growth over such prior twelve (12) month period, is a trip to the Kentucky Derby for one (1) employee of Entrant and his or her non-minor spouse, significant other, or guest, which includes round trip economy class airfare to Louisville International Airport, ground transportation from Louisville International Airport to the hotel, four (4) days and three (3) nights (double occupancy) at a three (3) or four (4) star hotel of the Sponsor’s choosing, ground transportation from the hotel to Churchill Downs for attending the Kentucky Derby, entry tickets and “Turf Club” seating for the “Kentucky Oaks” event on Friday and to the Kentucky Derby on Saturday, top-shelf food and beverages, VIP “fast access,” and a Kentucky Derby lanyard with ticket sleeves, such “win” Prize having an approximate retail value (“AVR”) of ten thousand dollars ($10,000.00), (note, however that such ARV may vary based on airfare fluctuations and distance between departure airport and Louisville International Airport; (b) ten (10) “place” Prizes, awarded to second-place Entrants under this Contest based on the criteria described in Section 3 above, and which must have a minimum of one hundred thousand dollars ($100,000.00) in additional Qualifying Purchases over the Entrant’s purchases of Aalberts IPSA products from Sponsor in the immediately prior twelve (12) month period before the Contest Period AND representing a minimum of ten percent (10%) growth over such prior twelve (12) month period, each of which is the “place” winner’s choice of one (1) of the following, each having an ARV of five thousand dollars ($5,000.00): (i) an electronics package comprising a television and soundbar “theater” sound system, (ii) a diamond jewelry package comprising a bracelet or a necklace or a set of earrings, (iii) a fitness equipment package comprising an adjustable dumbbell stand, an elliptical trainer, or a folding treadmill, or (iv) a back yard patio package comprising a LP gas grill, an LP gas outdoor fire pit, and a patio sectional sofa with coffee table set, and (c) twenty-five (25) “show” Prizes, awarded to third-place Entrants under this Contest

based on the criteria described in Section 3 above, and which must have a minimum of seventy five thousand dollars ($75,000.00) in additional Qualifying Purchases over the Entrant’s purchases of Aalberts IPSA products from Sponsor in the immediately prior twelve (12) month period before the Contest Period AND representing a minimum of seven percent (7%) growth over such prior twelve (12) month period, are each a one thousand dollar ($1,000.00) American Express gift card to be used wherever American Express is accepted (terms and conditions apply) having an ARV of one thousand dollars ($1,000.00). In the event of ties based on Qualifying Purchases by Entrants, winners of Prizes at each of the “win,” “place” and “show” levels will be selected through tiebreakers based on the percentage of growth of Qualifying Products made by an Entrant over the Apollo Valves products purchased by such Entrant from the Sponsor during the twelve (12) months immediately preceding the Contest Period. THE SPONSOR MAKES NO WARRANTIES, WHETHER EXPRESSED OR IMPLIED, WITH RESPECT TO THE CONDITION OF THE PRIZES. Each Prize is non-transferable and cannot be redeemed for cash or credit. No substitution, cash redemption or transfer of any Prize is permitted except at the Sponsor’s sole discretion or as provided herein. The Sponsor reserves the right to substitute Prizes of equal or greater value for any reason. All federal, state and local taxes, and all other costs and expenses associated with acceptance or use of any Prize are the sole responsibility of each winner. At the Sponsor’s sole discretion, if any Prize is unclaimed, it may not be awarded, it may be forfeited, and/or it may be awarded to an alternate winner. The Sponsor is not liable for and will not replace any lost, mutilated, or stolen Prize items, or any of the “win” Prize winner’s personal items that are lost, mutilated, or stolen while using such Prize.

 

5. Notification & Validation of Potential Winners. Potential winners will be notified by the Sponsor via e-mail and phone by April 2, 2025, and must follow the instructions provided to contact the Sponsor. A potential winner may be required to complete, sign and return a notarized affidavit of eligibility and liability release, tax forms and, where lawful, a publicity release within ten (10) days after notification. The return of any notification as undeliverable or failure to respond to notices within three (3) business days from the first attempt of contact, whether such notices are transmitted by verbal voicemails, e-mail messages, instant messages, etc., or failure to return any required documents or information within ten (10) days of the date the notice or attempted notice was sent, or a determination that a potential winner is ineligible or not in compliance with these Official Rules, all as may be determined by the Sponsor in its sole discretion, may result in the disqualification of a potential winner, the forfeiture of a Prize, and the selection of an alternate winner based on the criteria described herein. The winner of the “win” Prize must submit such winner’s guest’s name to the Sponsor no later than April 12, 2025, of such Prize may be forfeited and awarded by the Sponsor to the next winner based on the criteria described above in Sections 3 and 4. The travel companion of the “win” Prize winner must be of legal age of majority in the state of such individual’s legal residence and may be required to complete, have notarized, and return to the Sponsor a release of liability and publicity release prior to any travel booking.

 

6. Limitations, Waivers and Releases. Neither the Sponsor nor any of its affiliates or advisors or any of their respective officers, directors, employees or agents (collectively, the “Sponsor Parties”) are responsible for, and Entrant hereby expressly agrees that none of the Sponsor Parties shall have any liability for: (a) causes beyond the reasonable control of the Sponsor Parties that jeopardize the administration, security, fairness, integrity or proper conduct of this Contest; (b) incorrect or inaccurate information, whether caused by any of the Sponsor Parties or by any of the equipment or programming associated with or utilized in this Contest; (c) any typographical or other error in any advertising or marketing related to this Contest, in the administration or execution of this

Contest, or in the announcement/notification of Prize winners; (d) any human or other error which may occur in connection with this Contest; (e) cheating, fraud, or noncompliance with these Official Rules by any Entrant; (f) any technical malfunction or other problems relating to the telephone network or lines, computer online systems, servers, access providers, computer equipment, or software related to or otherwise used in connection with this Contest; or (g) the failure of information with respect to any Entrant’s participation in this Contest (including, without limitation, orders of Qualifying Purchases) to be received by the Sponsor during the Contest Period for any reason including, but not limited to, technical problems or traffic congestion on the Internet or at any website or any combination of the above.

 

7. Modification, Suspension and Termination. If for any reason this Contest (a) cannot be executed as planned, including, but not limited to, weather, fraud, technical failures, or any other causes beyond the Sponsor’s control that corrupt or affect the security, administration, integrity, fairness or proper conduct of this Contest, or (b) is compromised or becomes corrupted in any way, electronically or otherwise, the Sponsor reserves the right, in its sole discretion, to suspend and/or terminate this Contest. The Sponsor may modify, suspend or terminate this Contest in the event any of Sponsor’s information technology systems become infected by a computer virus or are otherwise technically impaired. If this Contest is terminated before the stated end date of the Contest Period, the Sponsor may, in its sole discretion, elect not to award any Prizes.

 

8. Disqualification. The Sponsor reserves the right, in its sole discretion, to disqualify any individual who acts in a disruptive or unfair manner in connection with this Contest or its administration.

 

9. Releases. By participating in this Contest, Entrant and all officers, employees and agents of Entrant expressly agree (and agree to confirm in writing) to: (a) release, defend, indemnify and hold harmless the Sponsor Parties from and against any and all liability, loss, claim or cause of action, including, but not limited to, injury, death or damages arising out of participation in this Contest or the acceptance, possession, use or misuse of any Prize; and (b) waive all rights to claim punitive, indirect, incidental, special or consequential damages, attorneys’ fees, court costs, or any damages, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO APPLICABLE PORTIONS OF THE ABOVE MAY NOT APPLY TO ENTRANT.

 

10. Publicity. Except in Tennessee and where prohibited, participation in this Contest constitutes Entrant’s permission for the Sponsor Parties and their respective agencies to use Entrant’s and its applicable officers’, directors’, employees’ and agents’ names, photos, voices and/or likenesses for purposes of advertising and publicity in all media now known or hereinafter invented, without territorial or time limitations and without compensation or notice. Subject to the foregoing, the verified winners of this Contest will be publicly announced through a posting on Sponsor’s social media account(s) and possibly through other media.

 

11. Choice of Law and Jurisdiction. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of any Entrant, and the Sponsor in connection with this Contest, shall be governed by, and construed in accordance with, the substantive laws of the State of North Carolina, USA, including its statutes of limitations, and without regard to any choice of law rules.

 

12. Dispute Resolution. Except where prohibited by law, as a condition of participating in this Contest, Entrant agrees that: (a) any and all disputes and causes of action arising out of or connected with this Contest or any Prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively, by final and binding arbitration under the rules of the American Arbitration Association, which shall be held at the AAA office located in Charlotte, North Carolina; (b) the Federal Arbitration Act shall govern the interpretation, enforcement, and all proceedings at such arbitration; and (c) judgment upon such arbitration award may be entered in any court having jurisdiction.

 

13. Severability & Conflicts. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Contest-related materials or made by any representative of any of the Sponsor Parties and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.

 

14. Applicability. These Official Rules apply only to this Contest and not to any other drawing, sweepstakes, contest or other promotion offered by the Sponsor. Any other drawing, sweepstakes, contest or other promotion offered by the Sponsor is governed by separate rules.

All comments, questions and complaints regarding this Contest must be directed to the Sponsor at the above address and not in any other manner, including through social media.
